Terms of Service

These Terms of Service (“Terms”) govern your use of Termtool, operated by Humilitas Group Limited (“we,” “us,” or “our”). By creating an account or using Termtool, you agree to these Terms.

1. Service Description

Termtool is a compliance automation platform for Shopify app developers. The service generates scope-aware privacy policies and terms of service, processes mandatory Shopify compliance webhooks (customers/data_request, customers/redact, shop/redact), and provides a compliance dashboard for managing your apps.

2. Account Registration

• You must provide a valid email address to create an account.
• You are responsible for maintaining the confidentiality of your credentials.
• You must be at least 18 years of age or the age of majority in your jurisdiction.
• One person or entity per account. Account sharing is not permitted.

3. Generated Content

Termtool generates compliance documents using AI based on the API scopes and app information you provide. You acknowledge and agree that:

• Generated documents are templates tailored to your app's data access patterns. They are not legal advice.
• You are solely responsible for reviewing generated documents before publishing them for your app.
• Generated documents may not address all regulatory requirements specific to your jurisdiction, industry, or business model.
• We recommend consulting qualified legal counsel for compliance matters specific to your situation.

You own the generated documents. We retain no rights to policies generated for your apps. We may retain anonymized, aggregated data about scope patterns to improve our generation models.

4. Webhook Processing

Termtool processes mandatory Shopify compliance webhooks on your behalf. You acknowledge that:

• Timely webhook processing is critical for Shopify compliance. We make commercially reasonable efforts to process webhooks within Shopify's required timeframes.
• You are responsible for configuring your Shopify app to point webhook endpoints to Termtool's worker URL.
• Failure to properly configure webhooks is your responsibility, not ours.

5. Subscription and Billing

• Termtool offers a free tier and a paid Pro subscription ($29/month or $249/year) billed through Stripe.
• Subscriptions auto-renew at the end of each billing period unless cancelled.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No prorated refunds.
• We reserve the right to change pricing with 30 days' notice to active subscribers.

6. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Attempt to reverse-engineer, decompile, or extract source code from the service
• Circumvent usage limits, rate limits, or access controls
• Resell or redistribute generated policies as a competing service
• Submit false or misleading app scope information to generate inaccurate policies

7. Intellectual Property

The Termtool platform, including its scope mapping database, AI prompts, webhook infrastructure, and dashboard interface, is our proprietary property. Your subscription grants you a limited, non-exclusive, non-transferable license to use the service for its intended purpose.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT GENERATED DOCUMENTS WILL SATISFY ALL LEGAL REQUIREMENTS APPLICABLE TO YOUR APP OR BUSINESS. COMPLIANCE IS ULTIMATELY YOUR RESPONSIBILITY.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to indemnify and hold harmless Termtool and its operators from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

• You may terminate your account at any time by contacting us or using the account settings.
• We may suspend or terminate your account for violation of these Terms, with notice where practicable.
• Upon termination, your data will be deleted within 30 days, except as required by law or our data retention policy.

12. Governing Law and Disputes

These Terms are governed by the laws of British Columbia, Canada. Any disputes arising from these Terms shall be resolved in the courts of British Columbia. Before initiating formal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

13. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via email at least 14 days before changes take effect. Continued use of the service after changes constitutes acceptance.
